Member of the California State Bar in good standing.
At least 6-8 years prior experience negotiating and drafting complex retail lease documentation with “big box” tenants, preferably in regional or flagship mixed use retail development settings.
Solid knowledge of real estate law and excellent reading, oral/written communication, negotiation and concise grammatical skills.
Must be detail oriented with good organizational and analytical skills.
Ability to manage and deliver multiple projects in a timely and accurate manner with strong initiative and follow through.
Ability to interact and communicate diplomatically and work well with others at all levels (especially at the senior executive level).
Strong work ethic with a positive, can-do attitude and the ability to work in a fast paced, team-oriented and dynamic environment.
Strong academic credentials preferred.
“Big law firm” and in-house experience preferred.
Experience with REITs and/or real estate companies preferred.
This individual will provide overall legal services for all company business activities, with a primary focus on the company’s real estate and development related transactional matters. The individual will provide assistance to the (Senior Real Estate Counsel/Associate General Counsel).
Primary responsibilities shall include, without limitation:
o Drafting and negotiating contracts including letters of intent, leases (primarily complex leases with “big box” tenants and other large space users often on non-standard company forms in complex regional and flagship retail and mixed use settings), subleases, amendments, assignments, temporary license agreements, marketing agreements, service contracts, management agreements and other legal documents.
o Assisting the development and leasing teams in tenant lease negotiations. Must be able to identify and discuss legal and business issues and assist the teams in resolving such issues in the best interest of the company.
o Providing advice to the leasing and development teams in the avoidance of legal disputes including client/tenant legal issues, tenant leases, insurance and risk management related matters, tenant defaults and other miscellaneous legal matters.
o Advising local property management staff on tenant operational/lease issues, landlord/tenant matters, collection activities, and other operational matters.
o Assisting in the preparation and negotiation of contractor/subcontractor agreements.
• Other responsibilities shall include, without limitation:
o Providing guidance and advice on legal aspects of leasing, acquisitions, dispositions and other general real estate matters.
o Providing guidance to real estate paralegals on title and survey matters.
o Providing general transactional support to corporate and operational departments (e.g., marketing, management, procurement, IT, etc.) as necessary.
o Participating in the development and interpretation of company operating policies.
o Providing general legal services on other miscellaneous matters that may arise from time to time.
• Maintain and assist Deputy General Counsel, Associate General Counsel and Senior Real Estate Counsel in maintaining corporate compliance procedures and records, ensure appropriate corporate approvals are received for leases, company transactions and various contracts.
• Coordinate and oversee outside counsel to the extent necessary.
