ABOUT THE ROLE:
Marvell is recruiting an individual for a newly created Sr. Counsel Ethics and Compliance role, to work with Marvell s Ethics & Compliance Team in leading the Company s compliance and corporate social responsibility efforts. This is a multi-dimensional, global and enterprise-wide position.
The new Sr. Counsel will be responsible for leading the execution and management of pragmatic and practical ethics and compliance programs across the Company's global operations, and to create employee awareness about ethics and compliance issues to ensure employee compliance with Company policies and the law. He or she will also support Marvell s corporate social responsibility program.
Reporting to the Chief Compliance Officer, the Sr. Counsel will be part of the Legal Department, and will work closely with attorneys and other professionals around the world.
PROGRAMS, POLICIES, PROCESSES
Contribute to the design and implementation of ethics and compliance related programs, processes and policies;
Implement regularized protocols of ongoing monitoring and improvement;
Promote culture of compliance by heightening awareness among employees of compliance risks and policies and align and educate organizations regarding current and emerging risks and trends;
Support regional compliance efforts to identify regional specific compliance issues and mitigate compliance risks;
Assist in implementation and execution of risk based third party due diligence and corporate-wide risk assessments;
Manage and respond to issues raised through the Global Concern Line and aliases;
Conduct internal investigations and draft memoranda providing legal analyses and risk-based recommendations regarding potential violations of law or Company policy and proposed outcomes, including remedial steps; and
Draft, modify and conduct policy and procedure reviews ensuring clarity and adoption of best practices.
Develop effective compliance training programs, both online and in-person; and
Monitor Company compliance training requirements, coordinate training schedule and provide regular updates on compliance program key metrics.

Work to constantly improve the Company s compliance position by partnering across the organization to develop relevant, meaningful ethics and compliance messaging;
Create awareness for ethics and compliance through campaigns and periodic communications;
Create internal webpages for content delivery; and
Partner with various organizations within Marvell to integrate lessons from compliance into the business programs.
Support Marvell s corporate social responsibility and philanthropy programs, including planning and leading the execution and management of various aspects of both programs.

J.D. from a reputable U.S. law school; active Bar membership in the U.S.;
At least 8 years of relevant experience in ethics and compliance (or a mix of compliance and legal) experience; experience advising a fast-growing business in a publicly-traded technology company a plus;
An understanding of the technology, hardware and software industries a plus;
Proven ability to work cross-functionally to achieve maximum compliance while minimizing the impact of compliance on the business;
Comfortable working in a fast-paced, challenging environment where decisions you make will have a large impact;
Strong oral advocacy and presentation skills;
Experience in implementing and monitoring practical and pragmatic policies and procedures to ensure that the Company s compliance programs are effective;
Efficient in identifying, preventing, detecting and remediating any non-compliances and gaps with applicable laws and regulations;
Experience in developing an annual compliance work plan that is flexibly tailored within an overarching compliance framework that balances regulatory requirements, risk mitigation and business objectives;
Experience in providing guidance, advice, and engaging training programs to improve the business' understanding of relevant legal and regulatory requirements;
Experience in partnering with business and legal colleagues in implementing and conducting appropriate due diligence and risk assessments of, for example, third parties, especially those operating in higher-risk jurisdictions and preparing clear and concise compliance reports in a timely manner;
Experience in conducting compliance-related confidential and privileged internal investigations, working closely with the HR, IT, Security, Legal and Internal Audit functions, when applicable;
