Heartland Dental is looking to expand our team! As a Paralegal at Heartland Dental, you must be capable of handling a substantial amount of work in a fast-paced, dynamic in-house legal department. Strong oral and written communication skills are required. Must apply a high degree of accuracy and exhibit excellent organizational skills. The Paralegal will play a critical role supporting the Legal Department's processes and projects. The position reports to the Vice-President, Deputy General Counsel, and will also support key initiatives (goals) of the department.

Below is an overview of the duties and responsibilities associated with this position:
Assist Legal Department with matters relating to acquisitions including:
Draft closing documents (asset purchase agreements, promissory notes, employment agreements, and other ancillary documents);
Negotiate revisions to closing documents with opposing counsel;
Draft additional miscellaneous contracts in connection with acquisitions;
Work collaboratively with other departments in connection with acquisitions;
Handle post-closing matters and requests; and
Organize and track documents for acquisitions, including scanning, filing, data entry, responding to document requests, and maintaining a matter management database.
Assist Legal Department with a wide variety of additional legal matters including:
Process/track employment agreements and addendums;
Entity management for over 70 entities, including annual consents and ownership changes;
Support with company board and shareholder matters;
General matters/requests received from other departments; and
Office dispositions and ownership changes
Active utilizer of matter management and contract management software, including some administrative functions such as scanning, field population, date monitoring, report construction/generation, etc.
Perform basic legal research
Special projects for General Counsel, such as: PowerPoint presentations, Legal Department reports, and other such projects to support the work of the Legal Department.
Completion of one of the following: five years of paralegal experience either at a law firm or in-house OR associate degree and not less than one year of in-house experience as a paralegal OR Bachelor's degree.
Practical knowledge of legal concepts
Strong computer skills, including experience with Microsoft Word, Outlook Excel and PowerPoint.
Strong organizational skills, accuracy and attention to detail
Ability to work well under pressure and prioritize multiple tasks
Strong verbal and written communication skills, with
Ability to answer telephone calls and communicate information to callers
Ability to interact with co-workers in a collegial manner to accomplish common tasks
High level of maturity, personal initiative, and sound judgment
Law firm experience
Experience working with complex legal agreement
