Commercial IP Counsel

Land O’Lakes Law Department has an opening for a Commercial Intellectual Property (IP) Counsel to join our team at our Arden Hills, Minnesota location. We are looking for an experienced attorney who can help build an IP Center of Excellence in the Law Department to help maintain, defend and maximize the value of our global intellectual property portfolio. This position will report to the Assistant General Counsel and Lead IP Counsel and will be responsible for delivering legal support for a broad range of intellectual property matters, including patents, IP licensing and related agreements, M & A, IP counseling and IP disputes. 


  • Along with the AGC/Lead IP Counsel, lead the creation of an “IP Center of Excellence” in the Land O’Lakes Law Department

  • Provide legal counsel for all of Land O’Lakes domestic and international businesses primarily in patent law oversight and management and secondarily in other intellectual property law areas (IP licensing, copyrights, and trade secrets)

  • Actively manage a global patent portfolio, including managing outside counsel on patent prosecution, clearance and litigation, and managing patent budget and spend

  • Integrate with attorneys in the Law Department with respect to IP issues in general commercial transactions to drive strategies, practices, policies and tools to support the IP Center of Excellence

  • Create internal training programs to build general awareness and a common cultural understanding of the importance of intellectual property and to drive best practices to both leverage and protect those assets

  • Provide intellectual property intelligence to Land O’Lakes business units through investigation and active monitoring of the industry and third-party intellectual property, and other trends and developments outside Land O’Lakes

  • Partner with business clients to develop and execute appropriate IP and strategies to achieve business objectives

  • Draft and negotiate complex, IP-related agreements

  • Lead IP due diligence review for mergers and acquisitions

Experience-Education (Required):  


  • J.D. from an accredited law school

  • Licensed and in good standing before a state bar

  • 5 or more years of experience practicing law in a law firm or in an in-house legal department with a focus on IP and a sophisticated understanding and knowledge of patent law

Competencies-Skills (Required):


  • Thorough knowledge of intellectual property laws and experience managing intellectual property portfolios, trademark and/or patent

  • Significant experience drafting complex commercial agreements with an IP focus (joint development agreement, IP/IT license agreement, research agreement)

  • Experience and/or exposure to the M & A transaction process

  • Creative, innovative, professional, fast learner and self-starter with strong business acumen

  • Demonstrate a high degree of discretion and judgment; absolute confidentiality and integrity

  • Ability and desire to actively collaborate with and contribute to the efforts of legal peer team

  • Motivated, proactive and confident with a strong drive and will to perform, while also being flexible to handle both large, small, and unexpected projects with enthusiasm
