SourceAmerica is looking for a talented Sr. Vice President and General Counsel to join its Vienna, Virginia-based team.

Job Summary


The Senior Vice President and General Counsel leads corporate, strategic, and tactical legal initiatives by serving as an all in-house legal counsel, management of all outside legal counsel and consultant teams, information governance and business integrity and ethics. This position reports to the CEO of the organization, serves on the Executive Leadership Team, and is the top advisor on all company legal matters.

Essential Functions


General Counsel



  • Provide the board of directors, CEO, and senior leadership with effective legal advice and counsel on company legal and business strategies and their implementation.

  • Provide day-to-day company legal advice and counsel regarding complex business transactions, critical negotiations, and commercial and government contracts.

  • Develop and lead corporate legal strategy to promote and protect SourceAmerica and AbilityOne Program interests.

  • Evaluate the merits of major disputes and court cases filed against or on behalf of the company and create and define strategic offensive and defensive strategies. Timely inform the appropriate executives and board members on the status of each matter and obtain authorization for settlement as required.

Department Management



  • Manage the legal function which includes information governance, business integrity, and ethics. and the management of the function includes engaging retaining, and overseeing the work of both internal teams as well as the use of outside counsel teams that may include experts, witnesses, etc.

  • Oversee long-term strategy as well as day-to-day operations of the attorneys, business integrity and ethics and information governance staff.

  • Oversees and appropriately manages the budget for the department and overall legal spend across the organization. Cost management is a key performance indicator for all SourceAmerica Business Units.

  • Select, retain, manage, and evaluate all legal team staff and outside counsel.

  • Cooperate fully with meeting the requirements of the Cooperative Agreement of the AbilityOne Commission

  • Perform additional duties and participate in special projects as assigned

Required Education, Experience, and Skills



  • Bachelor’s degree in a relevant field of study from an accredited institution

  • Juris Doctorate (JD) from an accredited institution

  • Bar licensure in good standing, preferably in the states of Virginia, Maryland, or District of Columbia

  • 20 years of combined legal experience with the following minimums:

    • 5 years of in-house counsel experience

    • 5 years of experience as a practicing attorney with a focus on federal contracting or related field

    • Experience managing other attorneys and supervising support staff in a corporation, as well as experience with cost effective management of outside legal resources.

    • Experience working on matters of corporate governance and with a board of directors



Preferred Education, Experience, and Skills



  • Possess knowledge of AbilityOne Program, as well as knowledge of federal and state contract procurement laws and legislation. Ability to develop a thorough and working knowledge of the Cooperative Agreement and its importance to SourceAmerica’s role within the AbilityOne Program

  • Understanding of federal legislation procedures, lobbying, and

  • Detailed knowledge of federal contracting practices

OTHER REQUIREMENTS



  • Ability to effectively collaborate with individuals and teams across a 400+ organization with a national footprint

  • Proficiency in MS Office including Excel, Outlook, PowerPoint, and Word

  • Strong interpersonal skills and ability to build and maintain relationships

  • Strong oral and written communication skills, including grammar and proofreading skills

  • Strong organizational skills

  • Capable of working independently and solving problems under time pressure

  • Flexible schedule and some travel required during certain time periods
