Digital Technology Transactions Attorney (virtual) at Cognizant in Dallas, Texas

Job Description:

Cognizant has an immediate opening for a corporate in-house attorney to join its commercial legal team to support inbound and out-bound contracting for digital tech transactions .  The ideal candidate will have a minimum of 4-8 years combined experience in a top law firm or in-house legal department specializing in technology transactions, digital engineering, and/or digital systems. 

The candidate must have deep experience contracting with clients and vendors (including software, hardware, SaaS, and platform service vendors) on broad variety of inbound and outbound technology and commercial transactions, including professional services, resell, licensing, teaming, and alliance deals. 

The ideal candidate will also have experience with M&A transactions in the technology sector and possess the ability to work quickly in a fast-paced and global environment to draft, negotiate, and manage complex contracts with autonomy and independence.  The candidate should possess excellent communication and organizational skills and should have prior experiencing managing demanding timelines from multiple business stakeholders. 

The successful candidate will work directly with business account team members, client partners, and a broad variety of internal stakeholders to help close deals efficiently and within the company’s policies and guidelines. Some travel required. 

Job responsibilities will include:

          


  • Partnering with Cognizant business executives to articulate digital strategy and commercial requirements.

  • Drafting, reviewing, and negotiating vendor and client contracts.

  • Reviewing, analyzing, and opining on risk associated with existing contracts of recently-acquired entities.

  • Advising business teams on Cognizant’s contracting policies and processes.

  • Working as part of a cross-functional team deliver digital technologies to clients across the globe.

  • Analyzing and assessing business processes, spotting issues, flagging risk, and proposing solutions.

The successful candidate should have the following qualifications:


  • Licensed attorney with a minimum of 4-8 years expertise in technology transactions, preferably with both large law firm and in-house experience;

  • Prior exposure to technology companies is required;

  • Experience in a wide variety of contract drafting and negotiations, preferably representing a client without significant contracting leverage;

  • Exposure to master service agreements, and various deployment models relative to software and technology services (on-premises, managed services, software-as-a-service, public/private cloud arrangements), system integration, or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and liability issues.

  • Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones;

  • Enjoy working in a rapidly changing and diverse environment and comfortable navigating through ambiguous situations.

  • Commitment to promoting an ethical workplace culture and supporting compliance processes and programs

Flexible on geographic location, though residence in Salt Lake City Utah or Texas (Dallas or Austin) is a plus.  All candidates required to be licensed or have in house licensure in the state in which they work.
