The Impact You’ll Make in this Role

As M&A Integration & Separation Legal Counsel, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:


  • Acquisition Integration - providing legal integration support to 3M business lawyers and other 3M team members related to acquisitions, including working in collaboration with them and the acquiring 3M businesses they support to identify legal integration issues, develop and implement a legal integration and services plan, and address various legal and other issues that arise in the course of the due diligence, planning and execution of the integration of an acquisition. 

  • Supporting and coordinating with the Legal M&A team to highlight implications of and suggest solutions to certain integration issues related to the proposed transaction, including deal structure, due diligence, timing, cross-functional or multi-disciplinary coordination, etc.

  • Divestiture Support - providing 3M business clients, Corporate Development, IMO (Integration Management Office), corporate functional experts, 3M business lawyers, and Legal M&A team members legal support, including counseling, development, drafting, negotiation, and ongoing support following execution through conclusion of core transition agreements and related schedules and documents, related to the divestiture of 3M businesses.

  • Refining and improving existing, and developing new, legal tools, applications, resources, templates, and forms in support of global acquisition integration and core transition arrangements in divestitures.

Your Skills and Expertise 
To set you up for success in this role from day one, 3M requires (at a minimum) the following qualifications:


  • Juris Doctor degree (completed and verified prior to start) from an accredited law school

  • Member of a United States bar in good standing

  • Five (5) years in general corporate, commercial law experience in a corporate in-house, private, or government or military environment

Additional qualifications that could help you succeed even further in this role include:


  • Experience with M&A projects or associated integration / separation legal work, particularly in a corporate or commercial lawyer role

  • Experience working in or with industry, particularly manufacturing;

  • Strong communication and interpersonal skills;

  • Demonstrated capacity to operate in a fast-paced environment;

  • Excellent writing ability, including experience in developing training materials, tools, and resources for legal and business audiences; and

  • Familiarity with and developing tools and applications in SharePoint or MS Teams or similar collaboration tools.

Travel: May include up to 15% domestic/international

Relocation Assistance: May be authorized

Location: Maplewood, MN and may consider remote U.S. work location

Must be legally authorized to work in country of employment without sponsorship for employment visa status (e.g., H1B status).

Responsibilities of this position may include direct and/or indirect physical or logical access to information, systems, technologies subjected to the regulations/compliance with U.S. Export Control Laws.
