Real Estate Paralegal

In this role, your main missions are:


  • Work on general real estate matters, such as review of title and survey (including working and coordinating with title and survey companies to order title commitments and surveys and address related issues), prepare legal descriptions, prepare and review of estoppel certificates, coordinate lender related matters and consents.

  • Review, analyze and summarize real estate agreements, such as anchor and big box lease agreements, CC&Rs, REAs, loan documents and joint venture agreements.

  • Prepare real estate closing documents and coordinate items for closing and post-closing requirements for major transactions, including exhibits, execution versions, transaction resolutions, certificates and other governance documents.

  • Assist attorneys with drafting legal documents, including deeds, construction and development agreements, management agreements, confidentiality agreements, promissory notes, borrower certificates and service contracts.

  • Assist attorneys with anchor lease and REA documentation, such as preparation of exclusives, prohibited uses and document indices.

  • Assist in interfacing with internal departments and outside counsel with respect to due diligence relating to financings, dispositions, acquisitions and litigation.

  • Manage the formation and dissolution of corporations, partnerships and limited liability companies.

  • Maintain corporate minute books and corporate records database.

  • Draft board resolutions and various other corporate documents, including bylaws, organizational actions, operating agreements, minutes and assignments.

  • Issue stock, maintain stock registers, prepare dividend declarations, unit purchase agreements, stock assignments, process redemptions and transfers.

  • Process and track annual report filings for corporate entities.

  • Assist in the organization of the Legal Department electronic document database and paper records.

  • Respond and process KYC information and other due diligence related requests.

  • Communicate regularly with attorneys and third parties regarding the status of projects and deadlines.

  • Respond to various inquiries from mall managers and other company personnel on a wide variety of legal related issues, such as reviewing and revising permit applications and property owner/landlord consents and coordinating execution.

  • Monitor, log and process Legal Department invoices.

  • Special projects and duties as assigned.

What we are looking for

You. . .


  • Post high school education and paralegal certification preferred.

  • Concise grammatical skills, excellent oral and written communication skills.

  • Ability to work well with others in fast paced, team-oriented and dynamic environment.

  • Ability to meet tight deadlines.

  • Detail-oriented and well organized.

  • At least five years law firm corporate experience and/or in-house paralegal experience preferred.

  • Experience in forming and dissolving corporations, partnerships and limited liability companies.

  • Able to interact diplomatically with corporate senior executives and staff.

  • Strong work ethic with a positive, can-do attitude.
