In the role of Transactional Attorney ("Attorney"), you will be responsible for working with numerous SEI business teams and other members of the Legal & Compliance Department to structure, draft, negotiate and manage the execution of commercial contracts on behalf of the SEI group of companies. You will manage various types of commercial arrangements (e.g. confidentiality agreements, software licenses, professional services agreements, SaaS agreements, business process outsourcing agreements, and software development agreements) with customers and vendors to ensure consistency with SEI's risk and governance structures, contractual commitments and regulatory compliance obligations. You will work closely with internal product and operations teams, new business development teams, client relationship teams, and executives in various business and competency units to support their efforts while also ensuring such parties' adherence to applicable standards and procedures. In addition, you will deal directly with third parties, such as clients and vendors, while representing SEI's interests. Experience with technology transfer transactions and related issues will be a strong differentiator for potential candidates.

What you'll do:


  • Drafting, negotiating and advising stakeholders with respect to complex commercial contracts with clients and third party service providers;

  • Investigating and resolving disputes arising in connection with SEI's relationships with clients and third party service providers;

  • Educating internal clients with respect to the positions and issues that arise during contractual negotiations;

  • Working with internal clients to solve legal, risk and business issues that arise in commercial transactions;

  • Understanding and applying regulatory changes to new and existing contracts;

  • Managing and prioritizing multiple concurrent projects;

  • Participating in various activities related to corporate governance, regulatory compliance, and third party risk management;

  • Populating and maintaining contract files and repositories;

  • Assisting with policy and procedure drafting and review.
