Job Description:

The Financial Reporting Manager prepares, coordinates, and reviews all external financial communications, including investor presentations, earnings releases, shareholder reports, bank regulatory filings, and public company filings.  This position prepares SEC filings, including annual and quarterly reports, forms, and correspondence.


Key Responsibilities / Essential Functions



  • Drafts and prepares all external financial communications, including press releases, investor presentations, and shareholder reports.

  • Responsible for the preparation of all SEC reporting, including the drafting of MD&A and other narrative sections of Form 10-K/Q, Form 8-Ks, and other registration statements.

  • Responsible for coordinating and reviewing XBRL tagging in SEC filings.

  • Ensures and manages the accuracy of information presented for all external financial reporting including footnote disclosures.

  • Monitor and ensure timely identification and compliance with evolving accounting guidance, provide US GAAP interpretation, and prepare technical memorandums that document issues in a clear, logical, and comprehensive manner.

  • Creates and maintains SEC calendar to inform parties of necessary deadline adherence.

  • Coordinates the completion of the annual report to shareholders and provides investor relations support.

  • Prepares the quarterly Call Report, FR Y-9C, FR Y-9LP, and other regulatory reporting.

  • Responsible for share-based compensation accounting and coordinates beneficial ownership filings with the SEC.

  • Coordinates legal counsel and information with respect to the annual proxy statement.

  • Assists in the coordination of the annual audit and quarterly review activities of external auditors.

  • Coordinates and/or performs Sarbanes-Oxley compliance procedures and ongoing compliance monitoring.

  • Assists the Chief Accounting Officer in drafting accounting policy and maintaining SOX control documentation.

  • Provides accounting/finance support for future acquisitions.

  • Maintain confidentiality and security of sensitive information.

  • Provide leadership of assigned team, lead efforts in recruitment, interviewing, and training employees, plan, assign, and direct departmental work.

  • Coordinate interdepartmental goals to ensure alignment with company goals and vision.

  • Coach and provide ongoing performance feedback to employees, set realistic and measurable performance goals, and ensure employees have appropriate professional development opportunities.  Effectively manage performance and assist employees to meet established company standards and expectations.

  • Participates in other projects as required.

 


Job Requirements


Education:



  • Bachelor’s degree in accounting/finance required.  

Required:



  • CPA with significant exposure to regulatory and financial reporting.

  • 8+ years of related financial communications and SEC reporting experience. 

  • Must have a thorough understanding of compliance regulations and accounting standards associated with a financial institution. 

  • In-depth knowledge of US GAAP and SEC rules and regulations required combined with the ability to research and the ability to interpret and apply written technical information to the company’s unique circumstances.

  • Ability to work in a fast-paced environment and manage well through ambiguity and complexity.

  • Well-refined communication skills, detail-oriented, and analytical ability. 

  • Strong aptitude for creating written communications based on financial information. 

  • Critical thinking and ability to manage projects with high need for accuracy while meeting deadlines.

  • Must demonstrate proficient use of Microsoft Office applications, accounting applications, and databases.

  • Strong leadership skills and the ability to coach and mentor staff.

Preferred:



  • Master’s degree in accounting/finance.

  • At least 4 years of experience with a prominent accounting firm servicing financial institutions.
