VCA is looking to recruit an attorney with acquisition experience, to join its legal department. The attorney will work primarily on VCA's mergers and acquisitions, strategic investments, joint ventures, and corporate transactions, as well as on other transactional matters. The attorney will report to and work under the direction of VCA's General Counsel and work closely with VCA's acquisitions team, as well as other cross-functional groups (e.g., finance, tax, etc.) in actively managing M&A transactions, including drafting, reviewing, and negotiating non-disclosure agreements, letters of intent, term sheets, definitive purchase agreements, and other relevant agreements, as well as managing and performing legal due diligence. The attorney may be required to provide legal support with respect to other aspects of VCA's business.
What are we looking for?
Juris Doctorate
4-8 years relevant corporate or transactional legal practice in a large, complex, multibillion dollar services company including contracts, corporate, transactions, real estate, regulatory matters, and trade secrets
Member of the California State Bar or other state bar in good standing
Strong Microsoft Office skills
Ability to read, write, and speak English
What will be your key responsibilities?
Providing corporate/transactional support across all business functions, including reviewing, interpreting, and negotiating agreements covering the full scope of VCA's corporate and commercial activities, creating, and improving company-wide policies, procedures, and standard agreements, and advising on strategic legal matters and legal implications to mitigate risk
Providing day-to-day legal support to VCA's network of veterinary hospitals and field teams located across the United States and Canada
Providing general legal advice and support to the business including, among other things, commercial contracts (draft, review, negotiate, training), advising on veterinary practice act implications, transaction support, and corporate governance
Working closely with and providing primary legal support to the following VCA departments on a regular basis: Real Estate, Client Experience/Digital Innovations, Knowledge & Learning, Marketing, Procurement, and Risk & Safety
Assisting VCA's Mergers & Acquisitions team
Identifying and filtering legal issues that need to be reviewed by external counsel
Fulfils other duties as assigned
