Context of the Job:

The Office of General Counsel (OGC) is a highly dynamic office committed to providing legal services for the University of Delaware. It manages the full range of legal issues for the University, including counsel and advice to the President and Board of Trustees, employment matters, litigation and other adversarial proceedings, corporate and business transactions, student matters, and compliance with pertinent federal and State laws. The OGC engages and supervises outside counsel for assistance with complex legal matters and litigation

The Associate Director is a position reporting directly to the Vice President & General Counsel but taking day-to-day direction from the Associate General Counsel responsible for the implementation of a University-wide contracting system. The Associate Director supports the implementation and effective use of the contracting system and the provision of an efficient, high-quality, and client-focused contracting experience. The incumbent supports the business by assisting with reviewing and updating internal policies, administering all aspects of the contracting system, providing training for users across all departments of the University, providing excellent and pragmatic commercial contracting support for the University administration and departments, and leading special and cross-functional projects requiring transactional input and support.

Major Responsibilities:

Contracts+ System Design, Implementation, and Support

  • Assist in all activities related to the Contracts+ System (System) project implementation, training, and support.

  • Collaborate on design of contracting processes, policies, and workflows.

  • Configure and maintain all aspects of the System, including workflow rules, user access and privileges, approval steps, and the contract template library.

  • Identify and train users by department and develop user guides and training materials.

  • Troubleshoot and resolve user issues.

  • Develop methods to quantify the outcomes of the training efforts, user experience and issues, and resolution of systematic or process issues.

  • Perform miscellaneous job-related duties as may be assigned by the Associate General Counsel and Vice President & General Counsel from time to time.

Contracts+ Administration and Management

  • Advise University business units and departments on contract approval processes and University policies and procedures.

  • Work collaboratively and cross-functionally with subject-matter experts across the University (e.g., Procurement, Risk, Finance, IT, Research, OGC, etc.) to ensure subject-matter experts are involved in the contracting process.

  • Draft and review contract documents in consultation with Associate General Counsel or Vice President & General Counsel.

  • Communicate as needed with University clients, including faculty, administration, and executive staff concerning contract negotiations, process, and status. This includes follow-up on pending documents.

  • Prepare reports, presentations, and analyses associated with contracts, transactions, service level agreements, and key performance indicators with Procurement and other University departments as necessary.

  • Develop and update reference and training materials and conduct training as needed.

Contracts+ eSignature Application

  • Oversee, administer, and manage the Contracts+ eSignature application and troubleshoot any associated issues.

  • Identify key areas of integration for efficiency and collaborate with owning department to deploy effectively.


  • Bachelor's degree with five years of experience in a contract review or negotiation role.

  • Experience in a contracting group.

  • Experience drafting and negotiating complex contacts in Purchasing, IT, or Financial Services.

  • Experience working directly with clients.

  • Ability to handle work load in a fast-paced environment and meet deadlines.

  • Ability to effectively interact and communicate with stakeholders at all levels and with diverse backgrounds.

  • Ability to handle confidential information appropriately and to use tact, discretion, and good judgment.

  • Higher Education, Research, or Government contracting experience is preferred.

  • Demonstrated understanding and consideration of the differing needs and concerns of individuals with varying identities, cultures, and backgrounds.
