Opportunity Overview:

The person selected for this role will enjoy the benefit of working for a well-established 100-year old Fortune 500 firm; but will also have the opportunity to be a key source of influence within the Firm by leveraging ESG and general complex corporate skills experience to advise the Firm's key business stakeholders. The role will allow the successful candidate to be a thought leader within the Firm.

Under general supervision, the person selected will be responsible for handling a variety of assigned legal projects including Environmental Social and Governance ("ESG"), securities law and corporate governance matters and general corporate and partnership issues. The person will work closely with other attorneys in the Legal Department.

The Associate General Counsel II - ESG should possess:

•    Legal expertise in connection with ESG programs, practices and initiatives, including company ESG and citizenship reports

•    Familiarity with legal developments, laws, rules, regulations and disclosure practices related to ESG programs 

•    Experience providing advice and training with respect to privilege assertions and determinations associated with ESG legal support

•    Familiarity with best-in-class ESG programs, practices and policies

•    Ability to develop and implement solutions to identify, manage and mitigate risk to the Firm

•    Strong knowledge of state and federal Securities laws and disclosure practices related to ESG and other matters, including experience with filing annual, quarterly and interim reports

•    Strong knowledge of general corporate law, including governance matters, complex subsidiary structures, charters, amendments, resolutions and Audit Committee work 

•    Familiarity with partnership legal documents including partnership agreements and governance

•    Experience providing legal advice in connection with outside counsel, auditor and consultant  engagements 

•    Exceptional legal knowledge, judgment, work ethic and integrity, and a demonstrated ability to maintain confidentiality.

•    Ability to analyze and resolve complex legal matters and recommend changes to organizational policies and procedures

•    Ability to successfully partner with associates across the Firm in a collaborative manner to deliver results and move important work through the organization

•    Ability to interact with sophisticated outside counsel to identify, evaluate and resolve complex legal questions and issues

•    Ability to independently manage a large, complex and diverse workload often in short timeframes

  Position Requirements:

• Requires J.D.  and license to practice in state of Missouri or an equivalent state

• Requires a minimum of 5 years of experience as an attorney in a corporate setting

• Must have sound judgment, decision making, and conflict resolution skills

• Commitment to a high level of ethics, professionalism, and confidentiality

• Excellent communication (oral and written), presentation and interpersonal skills with demonstrated ability to convey complex issues to legal and non-legal professionals at all levels, including senior leaders.
