The Sourcing Contracts Manager plays a critical role within the Global Systems Category Management (GSCM) Team in the development, negotiation, and ongoing management of third-party procurement agreements. These agreements and associated commercial matters will focus primarily on software/license agreements in addition to contracts for the procurement of tangible goods, product development, contractual amendments, and claims/dispute support.

This individual will work closely with Global Category Managers as well as a variety of functions including technology, marketing, lifecycle services, our global supply base, and Emerson Legal. The Sourcing Contracts Manager will serve as a focal point for management, project managers, GSCM staff and other supply chain teams with respect to contractual matters, regional and/or country laws and regulations with guidance from Emerson Legal, as necessary. 

Responsibilities


  • Negotiates and drafts contracts with third party suppliers to appropriately limit our contractual liabilities.

    • Exercises good business judgment and discretion when committing company contracts
    • Seeks inputs from team and stakeholders as necessary
    • Provides guidance in establishing contractual relationships
    • Advises team members and management on liability issues

  • Collaborates with team and Emerson Legal to review, modify and develop various contract templates for various deliverables and services.
  • Provides guidance and resolves conflicts and mitigates risk regarding terms and conditions, regulations, material specifications, etc., prior to contract execution.
  • Reviews and provides guidance on scope(s) of work, quotes, proposals, etc. to ensure adherence to contractual obligations
  • Leads Oracle Contract Tool adoption and integration within supply chain organization
  • Maintains contract storage and record keeping related to current contracts within Oracle Contract tool.
  • Monitors contract expiration dates and collaborates with responsible contract owner to ensure contract extensions and/or new contracts are implemented timely.
  • Coordinates between business units and its internal customers to establish effective stakeholder relationships.
  • Assures contractual obligations are performed in accordance with terms.

    • Audits existing agreements and terms
    • Ensures contracts adhere to existing regulations and Emerson Legal policies and procedures

  • Develops and manages onboarding supporting mergers and acquisitions, as necessary with regards to software requirements
  • Identifies requirements and opportunities
  • Develops and delivers contract training to team and internal stakeholders
  • Establishes and deploys process for engaging with new vendors prior to any contract engagement or commitment
  • Supports management of select suppliers as needed
  • Functions as first line of support for legal issues and inquiries

REQUIRED EDUCATION, EXPERIENCE & SKILLS


  • Bachelor's degree
  • Five (5) years of contracts management experience;
  • Language - English (advanced)
  • Strong Communication skills - capable of engaging at senior levels within Emerson and our suppliers
  • Excellent contract development, presentation and negotiation skills
  • Must possess clear understanding and proficiency associated with usage, intent, context, application and enforcement of legal terminology, language and obligations
  • Travel required up to (10-20%)
  • Legal authorization to work in the United States 

 PREFERRED EDUCATION, EXPERIENCE & SKILLS:  

  • Master's and/or Law degree strongly preferred
  • Software license agreement experience strongly preferred
  • Knowledge of other languages a plus
