JOB SUMMARY

The Senior Counsel, Legal Affairs, has broad experience in pharmaceutical, biologics, and medical device contracting and compliance matters. The Senior Counsel has extensive experience in negotiating commercial contracts, preferably in the areas of contract development and manufacturing and pharmaceutical product distribution and sales. This position will report to the Associate General Counsel, Commercial Contracts, and in addition to responsibilities for drafting and negotiating commercial contracts, will be responsible for providing strategic legal advice and guidance in support of Emergent's business unit operations.

ESSENTIAL FUNCTIONS

- The strategic negotiation of complex commercial contracts, such as manufacturing service agreements, research and development agreements, clinical trial agreements, distribution agreements, group purchasing organization agreements, pharmaceutical payor agreements, and product sale agreements

- Serve as a trusted advisor and collaborator to business unit leads, providing quality legal advice and guidance to ensure compliance with applicable laws and regulations

- Provide general legal advice and support on day-to-day operational issues, as well as significant company-wide matters

- Prepare and provide occasional training to internal clients

MINIMUM EDUCATION, EXPERIENCE, SKILLS

- J.D. from an ABA accredited school and bar membership and minimum of 5 years of relevant legal experience required

- Substantial legal experience drafting and negotiating complicated commercial contracts required

- Biopharmaceutical industry experience, whether through in-house experience or law firm client base preferred

- Knowledge of the Anti-Kickback Statute, fraud and abuse laws, the PhRMA Code, and drug price reporting rules and regulations preferred

- A self-starter and team player who collaborates and facilitates open dialogue with a wide variety of stakeholders to achieve corporate goals:
