The Team

We are seeking a Counsel to join American Tower’s Corporate Legal department.  The Counsel will assist primarily with corporate governance and public disclosure and reporting matters. Day to day, you will prepare documents for board meetings, prepare Securities and Exchange Commission (“SEC”) and New York Stock Exchange (“NYSE”) filings, and work on a wide range of governance and sustainability matters. In this role, you will work efficiently and effectively with, and serve as a resource to, members of the Corporate Legal, Treasury, Finance, Investor Relations, Human Resources, and other teams.

What You Can Offer Us

• Manage corporate governance matters relating to Board of Directors and senior management.


• Assist in the preparation of:
  
  
  
  • Board and committee materials, including the Nomination and Corporate Governance and Compensation Committees;
  
  
  • Proxy statements, including compiling information and preparing related documentation;
  
  
  • Executive compensation matters to comply with filing and public disclosure requirements;
  
  
  • Investor relations presentations and related public disclosures; and
  
  
  • Reports and documentation required for the annual meeting.
  
  
  
  


• Review and address stockholder proposals and requests.


• Manage reporting process with NYSE reporting requirements for all corporate governance matters.


• Assist with sustainability initiatives and program, including required reporting to GRESB and CDP.


• Prepare director and officer questionnaires and assess independence.


• Assist with onboarding processes for the appointment of new board members.


• Research and draft memoranda with respect to corporate and securities law matters, best practices, and changes in corporate and securities law practices.


• Advise on compliance with federal securities laws and disclosure requirements, including SEC and NYSE rules and requirements; attend applicable corporate governance seminars.


• Collaborate with international legal teams on required public disclosure filings.


• Other responsibilities as assigned.

What You Need to Succeed

• Juris Doctor degree required.


• Licensed to practice law in at least one U.S. state.


• Minimum of 3 years’ experience with corporate law issues and projects.


• Strong leadership skills; ability to drive and motivate others to achieve results.


• Strong knowledge of SEC and the NYSE rules and regulations.


• Knowledge of Microsoft Word, Excel, Outlook, and PowerPoint.


• Approximately 5% travel may be required to support the position’s responsibilities.


• Strong written and oral communication skills, including the ability to present ideas and suggestions clearly and effectively.


• Ability to work with outside counsel and different internal functional groups and levels of employees, to effectively and professionally achieve results.


• Strong organizational skills; ability to accomplish multiple tasks within the agreed upon timeframes through effective prioritization of duties and functions in a fast-paced environment.
