Job Description:

The Legal Department of JPMorgan Chase & Co provides legal services and advice to the Firm globally. Legal is responsible for, among other things:

• managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters

• advising on products and services, including contract negotiation and documentation

• advising on offering and marketing documents and new business initiatives

• managing dispute resolution

• interpreting existing laws, rules and regulations, and advising on changes thereto

• advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and

• providing legal advice to the Board of Directors, the business and functions.

This Employee Benefits/Executive Compensation attorney position within the Human Resources Law Team of the JPMC Legal Department primarily will be responsible for providing legal counsel and strategic advice on investment management and ERISA-related matters related to JPMC's employee benefit plans. This attorney will assist in both the design and administration of employee pension advisory groups in the Chief Investment Office, and human resources, and with 409A and benefits-related tax issues, and provide support for corporate transactions and benefits litigation. This attorney interacts closely with design and administrative teams, and functional partners for the qualified retirement plans, health and welfare benefit plans, related wellness strategies, non-ERISA fringe benefit plans and executive, deferred and equity compensation plans.

Either alone or in conjunction with other members of the Human Resources Law Team or other legal colleagues, this attorney will be responsible for supporting human resources and investment management professionals on ERISA fiduciary and pension investment issues.

Qualifications:

Licensing.

• JD or educational equivalent required.

• Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment;

• Attorney must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.

• All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.

Experience.

• Should have 5+years of post-JD recent, relevant and broad investment management/ERISA employee benefits experience

Required Subject Matter Expertise:

• Laws related to qualified plan investments, including prohibited transaction rules, fiduciary obligations, and Regulation W

• Laws related to the operation and administration of qualified retirement plans, including IRS, ERISA and PBGC requirements

• Investment related litigation, class actions and tax matters

Preferred Subject Matter Expertise:

• Corporate governance matters related to majority owned investment vehicles

• Preparation of Forms 5500 and supporting retirement plan financial reports

• Company owned life insurance, including IRS requirements

• Government audits and investigations of qualified plans

• Laws related to Health and Welfare Plans, including ERISA, IRC, Affordable Care Act, COBRA, Mental Health Parity, HIPAA, Genetic Information Nondiscrimination Act, Americans With Disabilities Act, and related claims and appeal processes

• Executive Compensation, including 409A, top hat plans, and equity compensation

Skills

• Provide advice that takes into account operational considerations for a large plan, and advise on risk in legal and reputational considerations

• Ability to manage a large workload efficiently without excessive supervision

• Ability to interact and communicate clearly with government representatives, human resources and investment professionals, colleagues and internal clients at all levels

• Very good investment contract drafting skills, as well as the ability to draft templates, standard operating procedures and controls for internal clients. Includes: Investment manager agreements, Limited Partnership Agreements, subscription agreements, amendments, consents, etc
