Responsibilities


·       Assist with forming, maintaining, and managing entities, subsidiaries, and registrations, including compliance with all necessary formalities, maintaining corporate and compliance calendars, ensuring timely filings, and reviewing and filing relevant entity registrations and business licenses.


·       Prepare written consents, resolutions, certifications, minutes, minute books, intercompany agreements, and other corporate documentation as needed for subsidiaries; update and maintain corporate records and databases for all subsidiaries and manage corporate agents.


·       Assist with Board and shareholder meetings, including preparing, distributing, and maintaining meeting minutes, materials, consents, and secretary’s certificates, as well as maintaining the minute book and index. Experience with Diligent a plus.


·       Assist with regulatory filings.


·       Administer electronic signature software, including sending of e-signature envelopes for the legal team and stakeholders across the business.


·       Perform legal research as needed.


·       Work with other members of the Legal Team on special projects and initiatives.


·       Support the legal team with transaction diligence.


·       Identify and implement improvements to current operations and workflows.


·       Other duties as assigned.

Qualifications


·        Bachelor’s degree preferred.


·       A minimum of 5 years of Corporate Paralegal experience and paralegal certificate required.


·       Prior experience in corporate formation, corporate governance, document management required.


·       Proficient with Adobe Acrobat and MS Office Suite, including Outlook, Word, Excel, Access, Teams, SharePoint.


·       Excellent verbal and written communication skills


·       Advanced knowledge of corporate practice-area-specific procedures and terminology.


·       Ability to maintain confidentiality, and to exercise discretion and good judgment.


·       Reliability, efficiency, teamwork, professionalism, ability to multi-task, and strong attention to detail are essential.
