Job Description:

Overview

The Senior Real Estate Counsel will provide legal services in support of commercial real estate transactions, operations, and administration projects, including leasing, tenant default matters, acquisition/dispositions, development, financing, and various corporate/joint-venture matters. This individual will report to the General Counsel of LBX and have extensive exposure to, and work directly with, the Managing Partners of the firm and the senior management team running Asset Management, Leasing, Construction/Development, Acquisitions and Investor Relations functions.

Responsibilities
  • Prepare and negotiate new leases, lease amendments and related documentation ancillary to the operation of a retail shopping center.
  • Oversee preparation of assignments, easement agreements, estoppel certificates, franchisor lease riders, landlord lien subordinations, and other documents needed in the ordinary course of lease administration.
  • Perform due diligence of leases, CC&R's/declarations and other title documents, including with respect to exclusive and restricted uses, maintenance obligations, and building restrictions.
  • Review title commitments and surveys and resolve title problems.
  • Seek and obtain consents from tenants, lenders, and joint venture partners as required.
  • Prepare and negotiate real estate purchase & sale agreements, access agreements and letters of intent associated with purchase and sales, and manage transaction closings.
  • Support leasing, property management, lease administration, development, and asset management efforts.
  • Update standard forms of real estate legal documents on an ongoing basis.
  • Help draft and prepare operating agreements, investor agreements and disclosure documents associated with acquisitions and capital raising.
  • Provide legal support with general corporate/miscellaneous matters as needed (e.g., review of vendor contracts, non-disclosure agreements, etc.).

Education And Experience Qualifications
  • JD from an accredited U.S. law school.
  • Licensed (in good standing) to practice law in the United States.
  • Law firm experience preferred.
  • Three (3) or more years of practice in a law firm or in-house with experience in complex commercial real estate transactions.

Required Knowledge, Skills, and Abilities
  • Detailed knowledge of commercial real estate transactions, with emphasis on leasing.
  • Extensive experience in drafting and negotiating definitive agreements and related documents customary in real estate acquisitions and dispositions.
  • Experience corresponding with opposing counsel and running a real estate deal from start to finish with limited supervision.
  • Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to internal business (non-legal) counterparts.
