Position: The Associate Counsel - Real Estate will work closely with senior management as well as outside counsel to provide legal support to the company on real estate and transactional matters, including leasing, property acquisitions and dispositions, financings, joint ventures, construction matters, and other projects and initiatives. Responsibilities will include drafting and reviewing legal documents, conducting comprehensive research, providing legal guidance, and ensuring strict compliance with all legal requirements. The successful candidate will be comfortable working in a fast-paced, entrepreneurial, roll-up-your-sleeves environment and possess exceptional communication skills as well as strong business acumen.
Key Functions: • Collaborate efficiently and effectively with the CEO and team in the review and drafting of real estate related legal documents and contracts. • Provide legal guidance to ensure compliance with pertinent laws and regulations in relation to real estate transactions. Contribute to meticulous due diligence processes and the scrupulous examination of titles. • Evaluate and inspect legal documents and contracts to identify and communicate potential issues and ensure alignment with the company's objectives and interests. • Engage in thorough legal research to stay apprised of evolving industry trends, regulations, and prudent practices. Propose recommendations grounded in well-founded research findings. • Proactively identify potential legal issues and determine pragmatic resolutions to mitigate risks while supporting the growth of the company and the achievement of corporate objectives. • Ensure that all real estate transactions and accompanying documentation are in strict accordance with local, state, and federal legal requirements and statutes. • Effectively convey legal advice and information to the CEO and team members.
Knowledge, Skills & Abilities: • Demonstrated experience reviewing, drafting and negotiating commercial real estate and other related contracts and documents. • Familiarity with Florida real estate laws and regulations. • Excellent legal research and analytical capabilities. • Proactive problem-solver with meticulous attention to detail. • Eagerness to embrace a collaborative, team-oriented approach in a diverse workplace and commitment to aligning with the management's vision. • Excellent written and verbal communication skills. • Aptitude for independent work and task prioritization. Core Requirements: • Juris Doctor (J.D.) degree and a valid license to practice law in Florida are required. • Minimum 3-5 years of legal experience practicing commercial real estate, real estate finance and general corporate law, preferably with a well-known private law firm or in-house legal department.
