Position Overview

Triple Oak is seeking a talented and experienced Counsel to join our team Reporting to the General Counsel (GC). The Counsel will provide commercial value to Triple Oak by managing and overseeing energy-related contracting matters for Triple Oak and its projects. The Counsel will work directly with the business team to structure, draft, and negotiate energy offtake agreements, responses to RFPs, interconnection, equipment procurement, development, and other material contracts. The Counsel will also assist in the management of FERC and other regulatory and compliance matters for the Company and help fulfill general corporate documentation and compliance functions as directed by the GC or Deputy GC.

Key Responsibilities:
  • Structure, draft, review, and negotiate various energy-related contracts, primarily focusing on offtake agreements, interconnection agreements, and related contracts
  • Review and assist with equipment procurement contracting, include Turbine Supply Agreements, Purchase Orders, and O&M Service Agreements
  • Assist in the management of regulatory issues
  • Provide general legal counsel on matters related to renewables, energy storage, and energy offtake
  • Draft, review, and negotiate various corporate documents as they arise on a day to basis at the Company, such as confidentiality agreements, service agreements, and corporate resolutions
  • Help drive business development strategy, identifying and helping mitigate risks that arise in energy contracting
  • Help ensure compliance with other internal policies and consistency across energy contracting and corporate transactions

Required Qualifications
  • A minimum of 6 - 8 years of relevant experience in the renewable energy sector as an attorney at one or more major law firms and/or with in-house legal departments
  • Juris Doctor (J.D.) degree and strong academic record from an accredited U.S. law school and current member in good standing of at least one state bar
  • Proven experience drafting, negotiating, and advising on sophisticated renewable energy related project development and energy contracts, primarily focusing on offtake agreements (physical and virtual PPAs), and interconnection agreements
  • Familiarity with transmission service agreements
  • Familiarity with ISDA and EEI agreements
  • Familiarity with procurement and/or EPC agreements
  • Strong leadership skills and the ability to direct external legal teams
  • Solid working knowledge of commercial transactions, and corporate law and project finance concepts and structures
  • Ability to work in a fast-paced, complex, and dynamic environment and adapt to changing circumstances
  • Excellent communication (verbal and written), negotiation, and interpersonal skills and team-building aptitude with ability to translate and relay complex concepts to non-legal audiences
  • Regulatory awareness of the power markets in the relevant jurisdictions in which the Company develops projects (e.g., FERC, NERC, ERCOT, MISO, SPP, etc.)

Triple Oak is headquartered in Portland, Oregon. Although this is not a fully remote position, Triple Oak is willing to consider a hybrid remote/in-person office arrangement.
