Job Description:

Location: NYC

RTO: 3 days/week

JW Michaels & Co is engaged with a major tech client who empowers content creators across the open internet to control access to their inventory and increase monetization by enabling marketers to drive return on investment and reach addressable audiences across ad formats and devices.

Reporting up to the General Counsel and acting as the lead counsel for a new business unit, primary responsibilities may include:

Responsibilities:
  • Legal Negotiations & Contract Structuring: Lead and manage legal aspects of commercial negotiations and contract drafting, ensuring alignment with business objectives and legal requirements.
  • Legal Advisory: Serve as a key legal advisor on commercial matters, providing strategic input and guidance on legal issues affecting the business.
  • Complex Legal Topics: Translate complex legal concepts into plain language for stakeholders, ensuring clarity and understanding across the organization.
  • Compliance & Risk Management: Identify and mitigate legal risks, ensuring compliance with applicable laws and regulations.
  • Cross-functional Collaboration: Work closely with various departments, including sales, marketing, and product teams, to support business initiatives and provide legal insights.
  • Continuous Improvement: Develop and improve legal processes and templates to enhance efficiency and effectiveness.
  • Expertise in Commercial Law: Strong background in handling commercial legal negotiations and contract structuring. Should be an excellent negotiator.

Required Profile Criteria: (please read carefully)

"MUST HAVE" Requirements:
  • J.D. from an accredited law school and member in good standing, or registered in house counsel, with the NY/CA bar
  • between 5 and 7 years of relevant experience
  • Law firm experience preferred; prior in-house experience at a tech company is a plus
  • Strong contract/commercial experience, including an understanding of intellectual property issues, data licensing concepts, and ability to issue spot for business risks
  • Ability to negotiate positively and proactively (internally and externally) and close transactions efficiently
  • Great business, risk, and legal judgment and the ability to work flexibly with a variety of teams
  • Excellent communication (verbal and written) and drafting skills
