WHAT WE'LL NEED
We are looking for a corporate attorney with 7+ years of legal experience with international legal compliance, franchising and commercial transactions. The Counsel, International will provide support to, and be a strategic partner for, the Company's growing international business on a wide range of legal matters. In-house experience for an international franchise business is a plus.
This individual is an energetic self-starter and leader that will help to manage all aspects of international legal compliance and work cross-functionally within the organization to support growth of the Company's international business.
WHAT YOU'LL DO
In this role, you will:
Draft, negotiate and implement international franchise agreements and other commercial arrangements;
Prepare required franchise disclosure documents;
Collaborate with cross-functional teams including development, human resources, supply chain, marketing, accounting, and international operations to advise business leaders with respect to legal issues and risk management;
Review, negotiate and draft a wide range of commercial agreements, including vendor agreements, MSAs, NDAs, SaaS agreements, and data processing agreements;
Assist with the creation and maintenance of legal entities globally through collaboration with outside counsel, consultants, and cross-functional stakeholders;
Draft international operating manuals and policies;
Support implementation of strategic initiatives and innovations, including research into legal and regulatory questions;
Contribute to the legal team by identifying and implementing improvements in processes and templates that drive growth within the Company;
Identify, analyze and evaluate potential legal and compliance risks; and
Other duties and special projects as assigned.

Education and Work Experience:
Minimum 7 years of legal experience in a major law firm and/or in-house legal department;
Juris Doctor (J.D.) degree from an accredited law school;
Active license to practice law in Texas; and
Strong knowledge of business law, including international law, franchising, contracts, corporate governance, intellectual property, employment law and regulatory compliance.
