Compensation: $125k plus bonus Position Summary Job Overview - Tax Manager - 32501 Prestigious Registered Investment Company, headquartered in Charlotte, seeks Tax Manager. This new role leads all tax compliance, tax planning, and tax structuring for the company's investment entities and reports to the company CFO. The ideal candidate will have prior tax experience for an employer or clients that invest in entities on behalf of investors, families, etc., with flow through tax consequences.
Responsibilities
Tax Compliance
Main point of contact with external service providers of the Funds
Manage the year-end tax compliance process, which includes review of K-1s, Federal and State returns for all including Funds, co-investment vehicles, management company, and general partner entities; file all returns with the proper tax authorities including timely payments; and distribution of K-1s to investors
Lead legal entity management effort such as registrations, licensing, etc., with agent
Maintain entity formation information and supporting documents, including EINs and W-9s
Lead IRS, property tax, and other tax audits; correspond with agencies, as needed
Prepare the company's fixed assets and associated depreciation schedules
Prepare 1099s for applicable external parties (MISC, NEC)
Tax Planning
Maintain a working knowledge of current and proposed regulations impacting the company
Prepare annual tax estimates for all flow through entities above the holding companies and distribute investor tax communication
Prepare ad hoc estimates of taxable income associated with individual Fund distributions and for quarterly estimated payments
Coordinate with Fund portfolio company preparers to manage expected flow through impacts to the Funds and timing of deliverables
Maintain withholding elections/status for all investors, including 83b elections for individuals
Manage compliance with investor side letter requests related to tax reporting and communication
Tax Structuring
Coordinate with investment teams and deal counsel on transaction structuring steps; translate impacts to Funds and investors
Review draft flow of funds for purchases and sales to ensure consistency with legal and tax structure
Identify and interpret tax efficiencies within investment structure
Oversee the Firm's organizational structure
Requirements
BS degree in accounting, tax or finance
CPA preferred
Minimum of 5 years' relevant tax experience
Superior problem-solving, analytical, and research skills
Strong written and oral communication skills, including the ability to interact with senior management and investors
Ability to work independently with limited oversight, multi-task, and meet demanding deadlines in a small team environment
Advanced Excel and QuickBooks knowledge, or comparable accounting software
