Job Description:

Harris Healthcare is seeking a Contract Administrator/Paralegal to join our team! You will support the Business Units in preparing, reviewing, analyzing, administering, and filing contracts and subcontracts (applying Business Unit standard and Corporate standards) for clients and 3rd parties as requested by Sales, Support, Professional Services and R&D and as necessary for regulatory compliance.

What your impact will be:


  • Prepare contracts (applying Business Unit standard and Corporate standards) for clients and 3rd parties as requested by Sales, Support, Professional Services and R&D.


  • Perform the administration, review, and analysis for client and vendor contracts and/or licenses to ensure compliance with specifications, Business Unit and Corporate policies, and governmental regulations.


  • Maintain a set of standard contracts for the Business Units.


  • Prepare and periodically review base contract language for appropriateness and compliance with Business Unit and Corporate policies and governmental regulations.


  • Interpret contract language and answer inquiries from Business Unit staff.  Where necessary, is liaison to Corporate Counsel on contract language interpretations and inquiries.


  • Assist in, or leads, negotiation of contracts as directed by Business Unit or Corporate Counsel.  Manages all changes in agreements and addendums.


  • Assist with pre-sales negotiations and preparations, including the RFP process, of favorable terms, pricing, and conditions of contracts as requested.


  • Serve as subject matter expert in the area of contract negotiation.


  • Ensures that contracts are executed and filed in accordance with Business Unit guidelines.


  • Conduct research and resolve routine legal questions/issues under the guidance of Business Unit or Corporate Counsel. 


  • Assist in the preparation of legal documents to support the Business Unit.


  • Maintain a filing system for contracts and other legal documents. 


  • Assist Business Unit or Corporate Counsel with drafting, reviewing, maintaining and communicating corporate/compliance policies and procedures as needed.


  • Other duties as assigned


  • Some flexibility in hours is allowed, but the employee must be available during the "core" work hours.


  • Ability to work longer hours as needed.


  • Ability to travel occasionally

  • Strong organizational and communication skills (both written and verbal) are required as well as an ability to interact in a positive manner with all levels of management, faculty and staff.


  • Must have the ability to work independently and as part of a team to meet expected deadlines and schedules.


  • Bachelor’s degree.  Paralegal degree or certification preferred.  Demonstrated experience may be substituted for educational requirement. 


  • 5 years of general corporate experience with a strong background in contract drafting and negotiation.


  • Must demonstrate sound reasoning skills, excellent problem-solving skills, knowledge of contracts and ethical judgement within broadly defined practices and policies.

  • Strong organizational and technical skills, including MS Word, Excel, SharePoint, PowerPoint and Outlook
